Terms of Service

Welcome to Signal Swap. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Signal Swap ("we," "us," or "our"), concerning your access to and use of the Signal Swap application as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Service”).

By using the Service, you agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

Signal Swap provides a technology platform that enables users to automate trading strategies by connecting third-party trading alert services (e.g., TradingView) to their brokerage accounts via webhooks. The Service includes tools for creating and managing these connections, as well as an AI-powered feature to analyze and filter trading signals.

Important Disclaimer: Signal Swap is a software provider, not a financial services firm. We are not a broker-dealer, investment advisor, or financial planner. The Service does not provide financial advice, trading advice, or any form of investment recommendations. All trading decisions, strategies, and outcomes are solely your responsibility. The risks associated with trading are significant, and you should not use our Service without fully understanding those risks.

You must be of the age of majority in your jurisdiction of residence to create an account and use the Service. By creating an account, you represent and warrant that you meet this requirement.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

Plans: We offer various subscription plans, including a free tier and paid tiers with additional features. Features and limits for each plan are detailed on our Pricing page.

Billing: For paid plans, you will be billed in advance on a recurring and periodic basis (such as monthly or annually). All fees are quoted in Canadian Dollars (CAD) unless otherwise specified. Applicable taxes (e.g., GST/HST) will be added to the subscription fees.

Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings prior to the renewal date. You authorize us to charge your payment method for the renewal term.

Free Trials: We may offer a free trial for our paid plans. If you do not cancel before the end of the trial period, you will be automatically charged the subscription fee for the selected plan on the day the trial ends.

No Refunds: Payments are non-refundable and there are no refunds or credits for partially used periods. Following any cancellation, however, you will continue to have access to the service through the end of your current billing period.

You are solely responsible for:

• Configuring your trading alerts, webhooks, and brokerage account connections correctly.
• The security of your API keys and brokerage account credentials. You agree to provide them to us at your own risk.
• All trading activity that occurs in your brokerage account as a result of using the Service.
• Complying with the terms of service of your broker and any third-party services you use in conjunction with Signal Swap.
• Not using the Service for any illegal or unauthorized purpose, including but not limited to market manipulation or fraudulent activities.

The Service and its original content, features, and functionality are and will remain the exclusive property of Signal Swap and its licensors. The Service is protected by copyright, trademark, and other laws of Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

No Warranty: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranty that the Service will be uninterrupted, timely, secure, error-free, or that any trading signals or executions will be accurate or profitable.

Risk Acknowledgement: Trading in financial markets involves substantial risk of loss and is not suitable for every investor. You acknowledge that you are trading with your own capital and that any losses incurred are your sole responsibility. Past performance is not indicative of future results.

Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Signal Swap, its affiliates, directors, employees, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, this Service. This includes losses resulting from technical glitches, API connection failures, errors in signal transmission, or any other cause. Our total liability to you for any and all claims arising out of your use of the Service is limited to the amount of fees you have paid to us in the 12 months preceding the claim.

You agree to defend, indemnify, and hold harmless Signal Swap and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), resulting from or arising out of your use of and access to the Service, or a breach of these Terms.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

These Terms shall be governed and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for the resolution of any disputes.

Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Entire Agreement: These Terms constitute the entire agreement between you and Signal Swap regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.

Language: The parties have expressly requested that these Terms and all related documents be drawn up in English. Les parties ont expressément demandé que ces conditions de service et tous les documents y afférents soient rédigés en anglais.
